Thank you for choosing our NEC product. This NEC product comes pre-installed with
various software and the use of the software products are subject to the terms and
conditions herein. Please read carefully these terms and conditions prior to using our
product. By using this NEC product, you acknowledge and agree to be bound by
these terms and conditions.
Please keep these terms and conditions as reference.
Terms and Conditions for using software
This license agreement (henceforth, described as "license") is a legal agreement between
you and NEC Personal Computers, Ltd. (henceforth, describing as "us" or "we" or "our").
We hereby grant you a single, non-exclusive, non-transferable license to use a copy of the
software products on this NEC product provided you comply with the terms and conditions
herein (henceforth, referred to as "software products")
1. Rights for use
(1) Subject to Clause 3 below, this license authorizes you to install and use a single
copy of the software products only on this NEC product. You are prohibited from
installing or using the software products on any other computer or hardware.
(2) You shall only use the software products in accordance to the terms and conditions
herein.
(3) The software products are licensed for use on a single NEC product. The software
products or any part thereof shall not be separated for use on more than one
computer or hardware.
(4) You shall not rent, lease or lend the software products.
(5) You shall be entitled to use the software products for your business purposes.
2. Duration
(1) If you are found to be in breach of one or more of the terms and conditions herein,
we hereby reserve our right to cancel the grant of this license.
(2) This license shall continue effectively unless terminated in accordance to the terms
and conditions herein.
(3) In the event this license expires or is terminated, then all your other rights based on
the terms and conditions herein will also expire or terminate.
(4) Upon the expiry or termination of this license, you agree to immediately discontinue
the use of and destroy the software products and all duplicate materials.
(5) You agree that we shall have the sole discretion of determining whether you are in
breach of this license. You further agree that we have the right to use any and all
means necessary to enforce our rights if you are in breach of this license and that
termination will not entitle you to a refund of the purchase price or any other
amounts paid by you under any circumstances whatsoever.

3. Duplication, modification and integration of software products
(1) Subject to Item 3(2) below, you shall be entitled to duplicate and make one copy of
the software. The duplicate copy of the software shall be solely use only when the
original software is lost or damaged.
(2) If a duplicate of the software was provided with this product (henceforth, describing
as "Authorized Duplicate"), you shall not be entitled to duplicate and make a copy of
the software. In such an event, you shall solely use the Authorized Duplicate if the
original software is lost or damaged.
(3) Unless as expressly provided for herein, you shall not use, duplicate, modify,
integrate, sell, license, give away or otherwise distribute the software whether in full
or in parts.
(4) You shall not duplicate the manual and other materials provided with the software
products.
4. Transfer of software products
(1) You may not assign all or part of your rights or obligations under this license without
our prior written consent and any attempt to the contrary will be void and a breach
of this license. We may withhold such consent in our sole discretion. A transfer of
this license will terminate any right to your continued possession or use of the
software products and you must promptly destroy all remaining copies of the
software products in your possession or under your control.
(2) Any transfer of the software products shall always be subject to the following:
(a) This product, software products, Authorized Duplicate, and all materials such as
the manual provided with software products shall be transferred to your
transferee and you shall not be entitled to retain any copy of the same; and
(b) Your transferee agrees to comply with all terms and conditions herein.
5. Limitations of guarantee
(1) We do not guarantee the software products to be fault free and/or error free. Should
there be any problems caused by the software products, such problems shall be
resolved by you at your sole cost and expense.
(2) If you, as the first customer (this means the customer who purchased this product
as new and intact) register your user registration with our company, we will, for a
period of one year from the date of purchase of this product by the first customer,
provide you with a support and update program (henceforth, describing as "support
program") and/or information required to resolve any errors /bugs as discovered by
us in the software products.The support program shall only be offered by the
country the first customer purchase the product. You acknowledge and agree that
the provision and timing of the support program and/or information to resolve any
errors/bugs shall be determined by us in our sole and absolute discretion.
(3) If this product is a HDD containing the software products (henceforth, describing as
"HDD") and we have in our sole and absolute discretion determine that the HDD is
unable to work when used with the software products, we shall provide a free one
for one exchange for the defective HDD, provided that within 14 days of purchase of
the defective HDD, the same is return to the shop where the first customer
purchased it.
